1. Definitions and Interpretation
1.1 In these Terms:
- BUSINESS refers to the operations conducted by the Buyer as of the Contract date.
- BUYER means the individual, firm, corporation, or other legal entity purchasing or agreeing to purchase the Products from the Seller.
- CATALOGUE includes the Seller’s latest product listings, along with any flyers, brochures, or digital promotions distributed periodically.
- TERMS means these standard sales terms, subject to written amendments, plus any bespoke conditions mutually agreed in writing by the Seller.
- CONSUMER means a Buyer who is a natural person acquiring Products primarily for non-commercial personal purposes.
- CONTRACT means the agreement for the sale and supply of Products between the Seller and Buyer under these Terms.
- DELIVERY DATE means the date indicated by the Seller for handover of the Products, or the actual delivery date if later.
- DELIVERY ADDRESS means the site designated in the Contract for Product receipt.
- DESPATCH NOTICE means the Seller’s email to the Buyer confirming acceptance of the Buyer’s purchase offer and Product shipment.
- PRODUCTS means the articles the Buyer commits to buy from the Seller.
- ORDER ACKNOWLEDGEMENT means the automated email from the Seller verifying receipt of the Buyer’s order.
- SELLER means Home Giant Ltd, trading as Direct Lighting, a private limited company incorporated in England and Wales under company number 16787947, with registered office at 12 Gleneagles Drive, Lancaster, Lancashire LA1 3RP.
- SITE means any digital platform owned or managed by the Seller, including directlighting.uk and associated links.
- WORKING DAY means any Monday to Friday when major London financial institutions are operational.
This document (together with our Privacy Policy) provides details about us and the binding legal terms (“Terms”) governing sales of Products listed on our Site.
These Terms govern every Contract for Product sales to you. Review them thoroughly before ordering, ensuring full comprehension. Prior to submission, you’ll confirm acceptance. Declining these Terms prevents Site orders.
The Seller may update these Terms periodically per Clause 8. Check them each order to confirm applicability. Last update: 16/10/2025.
All Terms and Contracts are in English only.
2. About the Seller
2.1 We manage the Site at www.directlighting.uk. We are Home Giant Ltd, trading as Direct Lighting, registered in England and Wales under company number 16787947, registered office at 12 Gleneagles Drive, Lancaster, Lancashire LA1 3RP, United Kingdom.
2.2 If you are a Consumer:
- 2.2.1 To exercise your cancellation rights under Clause 14, notify us of your intent. Email [email protected] or post to Direct Lighting, 12 Gleneagles Drive, Lancaster, Lancashire LA1 3RP. We’ll confirm receipt via email or phone. Include order details for quick identification. Cancellation takes effect on the date of your email or posting.
- 2.2.2 For other matters, including grievances, email [email protected].
- 2.2.3 We’ll communicate notices by email or prepaid post to your order-provided address.
2.3 If you are a Business:
- 2.3.1 Reach us at [email protected]. For formal notices, refer to Clause 25.7.
3. Our Products
3.1 Site images of Products are representational. Despite efforts for color fidelity, screen variations may occur—we can’t assure exact matches. Actual Products may differ slightly.
3.2 Packaging may vary from Site depictions.
4. Personal Data Usage
We process your information solely per our Privacy Policy. Review it carefully, as it contains key obligations relevant to you.
5. Consumer-Specific Provisions
This Clause 5 applies solely to Consumers.
5.1 Consumers must be 18+ to buy from our Site.
6. Business-Specific Provisions
This Clause 6 applies solely to Businesses.
6.1 You warrant authority to bind your Business in Site purchases.
6.2 These Terms supersede all others, including any in your orders or confirmations.
6.3 You confirm reliance solely on these Terms, excluding unstated representations.
6.4 Neither party claims for innocent/negligent misrepresentation based on Contract statements.
7. Contract Formation
7.1 Site orders constitute Buyer’s purchase offers under these Terms. The process allows error checks and corrections before submission. Verify at each step.
7.2 Orders trigger an Order Acknowledgement but bind only upon Seller processing and Despatch Notice issuance.
7.3 For Business Buyers, ownership changes don’t relieve payment duties without Seller’s written consent.
7.4 Post-formation variations require Seller’s prior written approval.
7.5 Catalogues/Site quotes aren’t binding offers.
7.6 The Seller may decline any Buyer or order at discretion.
7.7 If Products can’t be supplied (e.g., out of stock, unavailable, delivery issues, pricing errors), we’ll email notification and halt processing. Pre-paid amounts, including delivery, will be fully refunded promptly.
8. Our Right to Update Terms
8.1 Updates occur periodically—see Clause 1.1 for the latest.
8.2 Current Terms apply to each order.
8.3 Revisions may address legal/regulatory shifts.
8.4 We’ll notify you of order-affecting changes with reasonable notice, offering cancellation options. Cancel all or pending Products; return received items (we’ll cover collection/refund, including delivery).
9. Pricing
9.1 For Catalogue/Site sales, prices are those current at Contract formation, subject to fluctuations—Site display governs.
9.2 Prices lock at formation, varying only by mutual written agreement.
9.3 Unless specified, prices are per unit.
9.4 Business prices exclude VAT (20%) and duties; Consumers should select inclusive view. Site allows toggling.
9.5 All figures in GBP; payments in GBP unless otherwise agreed.
9.6 Despite checks, errors may arise. If lower, we charge less; if higher, we may:
- 9.6.1 Seek instructions pre-despatch;
- 9.6.2 Cancel/refund; or
- 9.6.3 Terminate for obvious errors (refund/return required).
9.7 We may add WEEE Directive taxes as applicable.
10. Delivery, Packaging & Handling Fees
10.1 Fees shown on Site; changes notified pre-delivery with cancellation/refund options.
10.2 Delivery dates approximate; delays don’t incur liability.
10.3 For Consumers, delivery within 30 days of Despatch Notice unless agreed otherwise, via Seller-chosen method to Delivery Address near Delivery Date.
10.4 Standard hours: 8:30am-6pm, Mon-Sat (excl. holidays).
10.5 Non-standard requests may add fees, notified at confirmation—cancel/refund available. For Businesses, time isn’t essential.
10.6 Delivery completes on signed receipt at Delivery Address.
10.7 Card payments limit delivery to cardholder’s registered address.
10.8 Consumer failed deliveries: Note left for rearrangement/collection. Unresolved attempts may incur storage/redelivery fees; persistent issues allow Contract termination.
10.9 Business non-acceptance: Seller may store at Buyer’s cost (incl. insurance), without waiving rights.
10.10 Businesses may face added packing/insurance.
Consumer-only (10.11-10.13):
10.11 Exceed 30 days? Cancel if refused, essential, or pre-specified.
10.12 Otherwise, set reasonable new deadline; miss it, cancel.
10.13 Cancellation allows partial/full; return/collect at our cost, full refund incl. delivery.
11. Payment Terms
11.1 Options: Credit/debit cards, cheques, credit accounts, PayPal.
11.2 Credit accounts discretionary; may require credit checks—orders paused until cleared.
11.3 Card security efforts notwithstanding, Seller liability limited (Consumers: foreseeable breaches only). Report unauthorized use promptly; we’ll assist reasonably.
11.4 Verify payment detail changes via [email protected] to avoid fraud.
12. Delayed Payments
12.1 Overdue: Interest at 2% monthly; Businesses add Late Payment Act rates; suspend/cancel accounts/deliveries; reallocate payments; debt collection.
12.2 Remedies cumulative.
12.3 Defaults (12.4): Suspend deliveries; appropriate Goods (refund less allocations); accelerate dues.
12.4 Defaults: Insolvency, receivership, winding-up, creditor arrangements, equivalents.
13. Business Returns, Cancellations & Breakages
13.1 Notify defects within 3 Working Days of receipt.
13.2 Standard items: Cancel within 14 days via [email protected]; return at your cost (tracked) with authorization number. Faulty? We cover postage.
13.3 Returns must be resalable, complete; poor condition/packaging reduces/diminishes refunds legally.
13.4 No cancellation for specials/made-to-order post-acceptance; returns only if faulty/damaged.
13.5 Seller pre-delivery cancellations: Refund less admin fee; no further liability.
13.6 No withholding for set-offs; refunds per 13.7.
13.7 Refunds within 30 days via original method; delivery partial if applicable (pro-rata). Delays not our liability.
13.8 Exceptions: Custom-made, used items (e.g., discolored lighting).
14. Right to Cancel (Consumer Only)
14.1 For Consumers: You have 14 days from product receipt to cancel. Notify us via email or post. We’ll confirm cancellation and refund within 14 days of your notice.
14.2 Refunds will include the original delivery cost, but the Buyer is responsible for return postage unless faulty.
15. Liability
15.1 Seller’s liability under these Terms is limited to the purchase price of the Product. We’re not liable for indirect or consequential losses, such as lost profits or business interruption.
15.2 For Consumers, nothing in these Terms affects statutory rights.
16. Force Majeure
Neither party is liable for failure to perform due to causes beyond reasonable control, such as natural disasters, war, strike, etc.
17. Governing Law & Jurisdiction
These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes will be subject to the exclusive jurisdiction of the English courts.
